Terms of Service

Grantboard is operated by OVERMATCH OÜ (“Grantboard”, “we”, “us”), a private limited company registered in the Estonian Business Register under code 17564126, with its registered address at Tartu mnt 67/1-13B, 10115 Tallinn, Harju County, Estonia. Contact: hello@grantboard.co.

By creating a Grantboard account or using the service, you agree to these Terms. Grantboard is provided to organizations for their professional activities. If you use it on behalf of an organization, you confirm that you have authority to bind that organization, and "you" includes that organization. The service is not offered to consumers for personal or household use.

Grantboard is grant lifecycle management software. It lets funders record grants, schedule and review milestones, receive grantee evidence through a private portal link, plan and track payment schedules, and keep reports and an audit trail. Features are available on every plan; plans differ by the number of open grants allowed.

Grantboard does not execute payments. It does not hold, send, receive or transmit grant funds and is not a signer on any bank account or wallet. You make grant disbursements through your own bank or wallet and record them in Grantboard. Optional crypto features, such as importing transfers from a registered Safe address, only read public blockchain data.

You are responsible for keeping your credentials confidential and for activity under your account. Tell us promptly at hello@grantboard.co if you suspect unauthorized access. Workspace administrators are responsible for who they invite and which roles they assign.

You agree not to: (a) use the service for unlawful purposes; (b) interfere with or disrupt the service; (c) attempt to access other accounts, workspaces or our systems without authorization; (d) use the service to facilitate money laundering, sanctions evasion or other illegal financial activity; (e) upload content you do not have the right to share; (f) reverse-engineer, scrape at scale or copy the service except as the law expressly permits; or (g) send spam, phishing or other deceptive communications through it.

You keep ownership of the content you add, such as grant records, documents and messages. You grant us a limited, non-exclusive license to host, process and display it only as needed to provide the service to you and your workspace.

For personal data inside a workspace, the organization that operates the workspace is the controller and we act as its processor, as described in our Privacy Policy.

Data processing agreement. Our Data Processing Agreement (GDPR Article 28) forms part of these Terms for every workspace, so there is nothing to sign. It prevails if anything in these Terms conflicts with it. For a signed copy, write to hello@grantboard.co.

Do not submit special categories of personal data under Article 9 GDPR, criminal conviction or offence data under Article 10 GDPR, identity documents or government identification numbers, passwords, private keys, financial account credentials, payment card numbers or security codes, or other sensitive personal data under applicable law. Ordinary grant payment amounts, references and public wallet addresses are allowed. Tell us promptly if prohibited data is submitted accidentally so we can help remove it.

Paid plans are monthly subscriptions billed in advance in US dollars through our payment processor, Stripe, and renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current paid period. Fees are not refundable except where required by law or for charges made in error. We may change plans or prices with reasonable advance notice by email to workspace administrators. A price change applies from a renewal after the notice, and you can cancel before it takes effect.

You can delete your account at any time from Settings → Your data. Deletion is scheduled with a 30-day window in which you can restore the account, or can be made immediate in the same dialog. Deletion can be held while workspace administration, billing or ownership of older files needs to be resolved; we explain the hold and help resolve it through support. Content you contributed to a workspace remains part of that workspace's records. We may suspend or end access for serious or repeated breaches of these Terms, and will give notice where reasonably possible.

The service is provided "as is" and "as available". To the extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Grantboard is a workflow tool and does not provide legal, financial, tax or investment advice.

To the extent permitted by law, our total liability arising out of or relating to the service is limited to the fees you paid us in the twelve months before the event giving rise to the claim, and we are not liable for indirect, incidental, consequential or punitive damages. Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for intent or gross negligence.

These Terms are governed by the laws of the Republic of Estonia, without regard to conflict-of-law rules. Disputes will be resolved by the competent courts of Estonia, unless mandatory law provides otherwise.

We may update these Terms. Material changes will be sent by email to active account holders before they take effect. The "Last updated" date above shows when the current version took effect.
